Our mobile application is an online Business to Business (B2B) platform designed specifically for local supermarket Vendors and Customers. Our online platform allows Customers to easily browse through
our nearest local Kirana store with an extensive selection of products and place an order with just a few clicks. Local Kirana stores offer a wide variety of groceries, ranging from fresh produce to
pantry essentials and much more. Our application serves as a unique marketplace where local supermarket Vendors can showcase and sell their products while offering customers a convenient virtual
shopping experience for budget-friendly groceries delivered right to doorstep. We provide a helping hand to retailers, Sellers or distributors (hereinafter referred as “Vendor”) to grow their business
in the Digital World!

These Terms of Use govern the use of the mobile application called "Local Supermart" and provide information about its services and usage. Please note that Local Supermart functions as an open
platform that allows vendors to offer their services independently. Local Supermart does not play an active role in the day-to-day operations of these vendors' businesses. To access and use the
services provided by this E-Commerce Platform, it is important to carefully read and agree to these Terms of Use.
1. TERMS OF USE
By downloading, browsing, accessing or using the mobile application "Local Supermart" you are agreeing to be bound by these Terms and Conditions of Use. Please note that these terms and conditions may
be amended by us at any time. If you do not agree with any of the terms and conditions, you must immediately stop accessing the mobile application and using the services offered.
Your continued use of the Mobile Application will be considered as your acceptance of these Terms and Conditions of Use, including any amendments that may be made periodically.
2. DEFINATIONS
In these Terms and Conditions of Use, the following capitalized terms shall have the following meanings, except where the context otherwise requires-
- “ACCOUNT” means account created by a User on the Mobile Applications as part of Registration.
- “CUSTOMERS” means users of ‘Local Supermart’ who availed the services/who buys the products through the platform of Mobile application.
- “SERVICES” means all the services provided by the Vendors to Customers on this platform “Local Supermart”

“SUBSCRIPTION FEES” means the amount paid by the Vendors to register on this App to the ‘Local Supermart’at the time of registration for the period of one year. The ‘Local Supermart’ has
the discretion to decide and to escalate the said amount of enrolment fees.
- “VENDOR” refers to Local Kirana Owners whose products can be purchased by Customers via this Mobile application ‘Local Supermart’.
3. GENERAL ISSUES ABOUT THE MOBILE APPLICATION AND THE SERVICES
- Applicability of Terms and Conditions- The use of any services and/or the Mobile Application are subject to these Terms and Conditions of Use.

Location – The Mobile Application ‘Local Supermart’, services are intended solely for use by Users who access the Mobile Application in INDIA. You do so your own initiative and are responsible for
the consequences and for compliance with all applicable law.
- Scope- The services provided through “Local Supermart” are for commercial and personal use only.
- Prevention on use- We reserve the right to prevent you using the mobile application and the services (or any part of them) and to prevent you from making any redemptions.

Equipment and Networks- The provision of the services and the Mobile Application does not include the provision of a mobile telephone or handheld device or other necessary equipment to access the
Mobile Application or the Services. To use the Mobile Application or services, you will require internet connection and appropriate telecommunication links. You acknowledge that the terms of
agreement with your respective mobile network provider (“Mobile Provider”) will continue to apply when using the Mobile Application. As a result, you may charge by the Mobile Provider for access
to network connection services for the duration of the connection while accessing the mobile application or any such third party charges as may arise. You accept responsibility for such charges
that arise.

Authorization- By submitting any text or images (including photographs) via the Application, you represent that you have proper authorization to use, reproduce, distribute or to sell the product.
4. USING THE SERVICES
You may use the services only in compliance with these Terms and all applicable laws, by-laws, rules and regulations. Our services expand continuously as such our services may change from time to time
at our discretion. We may bar providing the services or any features within the services to you permanently or temporarily. We may remove any content on the services, suspend or terminate users from
availing the service.
You may not do any of the following while accessing or using the Services:

Access, tamper with, or use non-public areas of the Services, company’s computer systems, or the technical delivery systems of the company’s providers;
- Probe, scan, or test the vulnerability of any system or network or breach or circumvent any security or authentication measures;

Access or search or attempt to access or search the Services by any means (automated or otherwise) other than through our currently available, published interfaces that are provided by ‘Local
Supermart’ (and only pursuant to the applicable Terms of Use).

Interfere with or disrupt, (or attempt to do so), the access of any user, host or network, including, without limitation, sending a virus, overloading, flooding, spamming, mail-bombing the
Services, or by scripting the creation of content in such amanner as to interfere with or create an undue burden on the Services.
5. REGISTRATION
You must register as a Vendor or Customer to use for “Local Supermat”. You are responsible for safeguarding your account with a password and limit its use to this account.

For Registration as a Vendor you must provide Name, Address, email Id, Contact Number, Legal KYC, GST Certificate, Shop act Certificate and Appropriate Certificates, Bank Details etc along with
Subscription fees as communicated by ‘Local Supermart’ at the time of on boarding. This subscription fees is valid for 1 year and thereafter shall be renewed atleast 30 days prior to validity date
as per terms of ‘Local Supermart’ time to time. If the vendor fails to renew their subscription, ‘Local Supermart’can terminate the subscription.

For Registration as a Customer you must provide Name, Address, email Id, Contact Number, residing address etc. The registration on this website is free of cost for Customers. We will not charge
any fee for registering, accessing, browsing and availing the services of the Mobile Application ‘Local Supermart’.
(Note- The registration can only be done by competent person as mentioned under The Indian Contract Act, 1872. By registering, accessing or using the ‘Local Supermart’, you accept the Terms of Use
and represent and warrant to ‘Local Supermart’that you are competent to contract under The Indian Contract Act, 1872 and have the right, authority and capacity to use the Mobile Application and
agree to abide by these Terms of Use.)
6. NORMS BY “Local Supermart”

‘Local Supermart’ specifies that any harm resulting from the negligence of the Vendor is the responsibility of vendor himself and “Local Supermart” shall not be held liable for such incidents.
- ‘Local Supermart’shall not be held responsible for any losses or damages suffered by the customer in case Vendor fails to fulfill services.
- ‘Local Supermart’shall not be accountable for the delivery of wrong or expired products to customers nor be held responsible for instances where a product is unavailable.

Vendors are expected to maintain a high standard of quality and accuracy in the products and services they offer through ‘Local Supermart’. Wereserve the right to terminate or suspend a vendor's
subscription if they consistentlyfail to meet the agreed-upon standards or violate any terms and conditions.
7. OFFER AND ACCEPTANCE OF ORDER
The Customers shall directly place an order through this E-Commerce Platform‘Local Supermart’ to retail Local Kirana store in nearby areas (maximum for 5 km radius). After the order is placed and
accepted, the Customer will receive an automated/manual email confirmation for the order placed. This automated confirmation email shall contain the details of the vendor, order, tracking code and the
bill amount.As part of their service, ‘Local Supermart’ ensures comprehensive order tracking for each customer. Throughout the entire process, ‘Local Supermart’ shall provide notifications to
customers at every step, keeping them informed about their status of order.To enhance security and streamline the delivery process, ‘Local Supermart’ implements a unique delivery code system. For
every order, a unique delivery code is generated through their Mobile application. Before the delivery takes place, customers are required to provide this code to the assigned Vendor. This code serves
as a verification mechanism and ensures that only authorized Customer can receive the order. Vendors are instructed not to proceed with delivery unless the customer provides the correct delivery code
associated with their order.
8. DELIVERY
- The Vendor is responsible for delivering the order to the address provided by Customer within 1 to 7 business days.
- The Vendor shalloffer multiple time slots for delivery, allowing the Customer to choose their preference:
- 9 AM to 12 PM
- 12 PM to 3 PM
- 3 PM to 6 PM
- 6 PM to 9 PM
- The Vendor has the option to provide free delivery or impose delivery charges, which will be communicated to the Customer at the time of order placement.
- The delivery charges applied by the Vendor are based on the size of the order:
- Orders worth Rs. 1 to 500/-
- Orders worth Rs. 501 to 1200/-
- Orders worth Rs. 1201 to 2500/-
- Orders worth Rs. 2501 to 5000/-
9. PAYMENT
- The Customer shall be responsible for the payment before or at the time of delivery.

The Customer can pay the payment directly to the Vendor by Cash on Delivery or UPI. In the case of UPI payments, customers are required to provide the transaction ID to the vendor using the same
order number.
10. PRICING, MRP AND APPLICABLE TAXES

The Vendor shall solely responsible for setting the price of each product including any discounts offered. However, it is essential that the Vendor does not exceed the Maximum Retail Price (MRP)
when determining the selling price of a product.

The Vendor shall comply with all applicable tax laws, regulations and are responsible for incorporating the appropriate taxes, such as sales tax or goods and services tax into the final product
price.
11. RETURN POLICY
- The Customer can return the product through mobile application within 48 hours of delivery in the event of the following:
- Wrong delivery: If the product received does not match the customer's original order.
- Damaged product: If the product is received in a damaged or compromised condition.
- Expired product: If the product is expired at the time of delivery.
- Quality issue
- Product is no longer needed to Customer
- If delivery of the product is delayed
- The Customer is entitled to return the product within 48 hours of delivery.

To initiate a return, the customer must submit a return request through the app. The request notification will be sent to Vendor, who will then review and accept the request. After acceptance,
Customer shall submit the product within 24 hours to the shop. Once the Vendor receives the return product from the customer, the refund amount will be transferred to the customer's account.
12. REFUND POLICY
- It is the duty of the Vendor to initiate the refund process promptly within 24 to 48 hours of receiving the return product.
- The refund will be processed by the Vendor through the payment mode chosen by the Customer.
- If Customer choose the Cash payment then he need to collect the cash from store once his refund is approved.
- If Customer choose the UPI then Vendor shall provide transaction details to customers after refund amount is transferred.
13. CANCELLATION POLICY
Customer cannot cancel the order once it placed but Customer can return the product within 24 to 48 hours once it delivered.
14. FEEDBACK
Any feedback, comments, or suggestions you may provide regarding ‘Local Supermart’ are always welcome.
15. INDEMNIFICATION
You release us from, and agree to indemnify, defend and hold harmless the company, its officers, directors, employees and agents from and against any and all claims, damages, obligations, losses,
liabilities, costs or debt, and expenses (including but not limited to attorney's fees), any return, refund arising from:
- Your use of the Service;
- Your violation of any term of these Terms of Service;
- Any claim that your Content caused damage to a third party.
- Your Taxes and duties or the collection, payment, or failure to collect or pay Your Taxes or duties, or the failure to meet tax registration obligations or duties; or
- Your non-compliance with applicable laws.
16. FORCE MAJEURE
The ‘Local Suppermart’ shall not be liable for any loss or damage caused to the user as a result of delay or default or deficiency or failure in the Services as a result of any natural disasters,
pandemic, fire, riots, civil disturbances, actions or decrees of governmental bodies, communication line failures (which are not caused due to our fault), or any other delay or default or deficiency
or failure which arises from causes beyond our reasonable control.
17. TERMINATION
You may terminate the services with us by deactivating the account or unsubscribing the account. The services will be terminated automatically upon expiry of your Subscription in case of Vendor. We
may terminate your account or services if-
- You have violated the Terms of Use;
- You do not abide by the applicable governing Laws;
- Your activities depict unlawful conduct;
- You create risk or possible legal exposure for us.
18. CUSTOMER SUPPORT
We will provide Customer Support and guide you through an email from time to time from our email id info@localsupermart.com
19. DISPUTE RESOLUTION
In the event of any dispute between the parties involved, each party agrees to release the Company, its agents, directors, and employees from any claims, demands, and damages (both actual and
consequential). This includes, but is not limited to, the return or refund of products, and covers all types and forms of disputes, whether known or unknown, suspected or unsuspected, disclosed or
undisclosed, arising directly or indirectly from such disputes.All disputes will be subject to arbitration by a sole arbitrator appointed by the Parties under the
Arbitration and Conciliation Act, 1996. The arbitration process shall be held in Pune.
20. MODIFICATION
We reserve the right to modify the Terms of Use from time to time and such Terms of Use shall not be retroactive and will be effective from immediate effect. The latest model/ version of the Terms of
Use shall be applicable to govern the relation between us. You may receive the notification of the revised Terms of Use well in time.
21. ELECTRONIC COMMUNICATION
Notices and other communications between Local Supermart, Vendor or Customer hereunder may be delivered or furnished by electronic communication (including e-mail and Internet, Mobile application or
intranet websites) and by Telephone communication from registered mobile number only.
22. SEVERABILITY
If any provision of this Agreement or document is or becomes illegal, invalid or unenforceable that shall not affect the validity or enforceability of any other provision mentioned in this term of
use.
23. GOVERNING LAW
This Agreement shall be governed and construed in accordance with the laws of India and legal proceedings may be brought in any competent court in India that has jurisdiction over the claim.
